WBS provides IT consulting, software development, ERP implementation, eCommerce solutions, and related digital services. The specific scope, deliverables, timelines, and costs for any engagement will be defined in a separate written proposal or contract, which forms part of the binding agreement between WBS and the client.

Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, and necessary access (systems, credentials, content, or assets) required for project execution. Delays caused by incomplete or delayed client input may affect project timelines, and WBS is not liable for resulting delays.

Payment Terms

• Payment schedules, milestones, and amounts will be specified in the individual project agreement.
• Invoices are due within the timeframe stated in the agreement unless otherwise negotiated in writing.
• Late payments may result in suspension of services until outstanding balances are resolved.
• All fees are exclusive of applicable taxes unless stated otherwise.

Intellectual Property

Upon full payment, clients receive ownership rights to custom deliverables as specified in the project agreement. WBS retains ownership of any pre-existing tools, frameworks, or proprietary methodologies used in delivering the service, unless explicitly transferred in writing.

Confidentiality

Both parties agree to keep confidential any proprietary, business, or technical information shared during the course of the engagement, and not to disclose it to third parties without prior written consent, except as required by law.

Project Timelines

Estimated timelines are provided in good faith based on the agreed scope. Timelines may be affected by scope changes, delayed approvals, or factors outside WBS’s reasonable control. Any material changes to scope will be documented and may affect cost and delivery schedules.

Limitation of Liability

WBS will make every reasonable effort to deliver services to a professional standard. However, WBS shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services, including but not limited to loss of revenue, data, or business opportunities, except where such liability cannot be excluded by law.

Warranties and Support

Post-delivery support and warranty terms (bug fixes, revisions, maintenance windows) will be defined in the individual service agreement. Support beyond the agreed warranty period may be subject to additional charges.

Termination

Either party may terminate an ongoing engagement with written notice as specified in the individual contract. Client remains responsible for payment of work completed up to the termination date.

Third-Party Tools and Services

Some solutions may integrate third-party platforms, software, or APIs. WBS is not responsible for the performance, availability, or policies of third-party providers.

Governing Law

These Terms and Conditions are governed by the laws of Pakistan. Any disputes arising from these terms or any service agreement shall be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan, unless otherwise agreed in writing for engagements outside Pakistan.

Changes to These Terms

WBS reserves the right to update these Terms and Conditions at any time. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
